[PSPN Participant Liaison Services]

We network with certain private entities and organizations that may maintain full or limited service memberships with the DTCC, its subsidiaries, and other securities-related service providers. These entities comprise the Private Securities Participant Network (PSPN), the invaluable contacts we have made over the years in order to bring our Clients who, being private, may be without any other access to the securities industry.

Because some of the PSPN participants are in a position to deposit, dispose of, settle and clear securities, we offer a service of connecting Clients with participants in an efficient setting. The service may include any number of means to eliminate the ordinary communication barriers. Limitations resulting from the Client's lack of trained personnel, lack of membership or other factors that might render a meeting of the minds impossible are eliminated as well.

Service Fees are structured as a finder's fee, which is a percentage based upon the total amount netted in the transaction. The principal difference between this service and our Securities Authorized Representation service is the extent of agency and absence of limited power of attorney. Participants may contract us to relay messages to Clients and vise versa, however, absent an authorized representation contract we cannot pursue any trade leads or engage in any negotiations for the transfer of the Client's securities.
